registered in England with the company number 06595087 and have our registered
office at Woodgate House, 2-8 Games Road, Cockfosters, Herts, EN4 9HN,
operating in both the United Kingdom and Cyprus.

By accessing or using any part of our services, you agree to
be legally bound by these Terms and Conditions and our Privacy Policy. It is important
that you read and understand these terms thoroughly before using our services.
If you do not agree to these terms, you should discontinue the use of our
services immediately.

We provide specialized services including:

Asset Recovery: Reclaiming valuable components from discarded electronics. WEEE Recycling: Responsible disposal and recycling of Waste Electrical and Electronic Equipment. Data Shredding: Secure destruction of sensitive data to prevent unauthorized access. Data Center Decommissioning: Safely dismantling data center equipment and infrastructure.

Services are subject to availability and may be modified,
enhanced, or withdrawn by us without prior notice.

5. Service Usage Terms

You agree to use our Services only for lawful purposes and
in a manner that does not infringe the rights of, or restrict or inhibit the
use and enjoyment of this Service by any third party. Prohibited behavior
includes harassing or causing distress or inconvenience to any person,
transmitting obscene or offensive content, or disrupting the normal flow of
dialogue within our Services.

6. Pricing and Payment Terms

The pricing for our Services shall be provided to you at the
time of the quote and may vary depending on the specific requirements of your
request. All fees are due within 14 days of the invoice date, which will be
issued upon receipt of an item for testing. Payments are to be made in
accordance with the payment instructions specified on the invoice.

7. Quotes and Estimates

Quotes for our Services will be provided within 72 hours of
your request and are valid for 30 days from the date of issuance. Acceptance of
quotes must be confirmed in writing. Estimates are based on the information
provided at the time and may be subject to change based on further assessment.

8. Data Protection and Privacy

Your privacy is important to us. The collection, use, and
protection of your personal data are governed by our Privacy Policy, which is
incorporated into these Terms by reference. By using our Services, you consent
to the data practices described in the Privacy Policy, including the collection
and processing of your personal data such as your name, business name, business
address, phone number, email ID, and website information.

liable for any indirect, incidental, special, consequential, or punitive
damages, or any loss of profits or revenues, whether incurred directly or
indirectly, or any loss of data, use, goodwill, or other intangible losses,
resulting from:

Your access to, use of, or inability to access or use the Services; Any conduct or content of any third party relating to the Services; Unauthorized access, use, or alteration of your transmissions or content.

16. Indemnification

You agree to defend, indemnify, and hold harmless NLTS and
its officers, directors, employees, and agents, from and against any claims,
liabilities, damages, losses, and expenses, including without limitation,
reasonable legal and accounting fees, arising out of or in any way connected
with:

Your access to or use of the Services; Your violation of these Terms; Any activities related to your account by you or any other person accessing the Services through your account.

17. Dispute Resolution

In the event of any dispute arising from or relating to
these Terms, the parties agree to pursue friendly negotiation to resolve the
issue before commencing any legal action. If negotiation fails to resolve the
dispute within a reasonable period, the dispute shall be submitted to binding
arbitration under the Rules of Arbitration of the International Chamber of
Commerce. The arbitration will be conducted in London, England, in English.

18. Termination and Suspension

NLTS reserves the right to terminate or suspend your access
to all or part of the Services, without prior notice, for any conduct that
NLTS, in its sole discretion, believes is in violation of any applicable law or
is harmful to the interests of another user, a third-party, or the Company.
Upon termination, your right to use the Services will immediately cease. If you
wish to terminate your account, you may simply discontinue using the Services.

19. Changes to Terms and Conditions

NLTS reserves the right, at its sole discretion, to modify
or replace these Terms at any time. If a revision is material, we will provide
at least 30 days' notice prior to any new terms taking effect. What constitutes
a material change will be determined at our sole discretion. By continuing to
access or use our Services after those revisions become effective, you agree to
be bound by the revised terms.

20. Refund and Cancellation Policy

Refunds are available under specific conditions. If the work
detailed in a service proposal does not commence within a 14-day window from
the agreed start date, any deposits paid will be refunded in full. Services can
be cancelled as per the terms laid out in the service agreement, and users
should refer to this agreement for detailed cancellation procedures.

21. Force Majeure

NLTS will not be liable for any failure to perform its
obligations hereunder where such failure results from any cause beyond NLTS’s
reasonable control, including, without limitation, mechanical, electronic, or
communications failure or degradation (including "line-noise"
interference). These conditions include, but are not limited to, acts of God,
natural disasters, war, terrorism, riots, embargoes, acts of civil or military
authorities, fire, floods, accidents, strikes, or shortages of transportation
facilities, fuel, energy, labor, or materials.

22. Severability

If any provision of these Terms is found to be invalid or
unenforceable by a court of competent jurisdiction, the remaining provisions of
these Terms will remain in full force and effect. Such invalidity or
unenforceability will not invalidate or render unenforceable the entire Terms,
but rather the entire Terms will be construed as if not containing the
particular provision held to be invalid or unenforceable.

23. Waiver

No waiver of any term or condition set forth in these Terms
shall be deemed a further or continuing waiver of such term or condition or a
waiver of any other term or condition, and any failure of NLTS to assert a
right or provision under these Terms shall not constitute a waiver of such
right or provision.

24. Notices and Communications

Any notices or other communications permitted or required
hereunder, including those regarding modifications to these Terms, will be in
writing and given by NLTS (i) via email (in each case to the address that you
provide) or (ii) by posting to the Website. For notices made by e-mail, the
date of receipt will be deemed the date on which such notice is transmitted.

25. Entire Agreement

These Terms constitute the entire agreement between you and
NLTS regarding the use of the Services and supersede and replace any prior
agreements we might have had between us regarding the Services. Any ambiguities
in the interpretation of these Terms shall not be construed against the
drafting party.
